1. Acceptance of Terms

By using the Site, requesting a quotation, ordering samples, or placing a production order with OKAY EYEWEAR, you confirm that you have read, understood, and agree to these Terms and any related order confirmations, proforma invoices, or written agreements. If you do not agree with any part of these Terms, please discontinue use of the Site and refrain from placing orders.

2. Company Information

OKAY EYEWEAR is a China-based OEM/ODM manufacturer of children's TPEE sunglasses, TR90 optical frames, TR90 sunglasses, and mixed-material eyewear products, operating out of Taizhou, China. These Terms apply to all business inquiries, sample orders, bulk production orders, and OEM/ODM development projects conducted through our Site, email, WhatsApp, or other agreed communication channels.

3. Description of Services

OKAY EYEWEAR provides business-to-business (B2B) manufacturing and sourcing services, including:

• Selection from approximately 800 existing eyewear styles
• OEM/ODM development of custom colors, logos, lenses, packaging, and accessories
• Sampling, bulk production, quality inspection, and shipment coordination
• Support for children's and adult sunglasses and optical frames using TPEE, TR90, and mixed materials

Service scope, minimum order quantities, lead times, and pricing tiers are confirmed individually with each Customer and are not guaranteed by general statements made on the Site.

4. Orders, Quotations & Pricing

All quotations issued by OKAY EYEWEAR are estimates based on the information available at the time and remain valid for the period stated in the quotation, or 15 calendar days if no period is stated. Prices may vary depending on material selection, lens quality, customization requirements, packaging standard, and order quantity. A formal order is only confirmed once both parties have agreed on specifications, pricing, and payment terms, typically documented in a written order confirmation or proforma invoice.

5. OEM/ODM & Customization

Customers may request OEM/ODM customization, including private-label branding, custom colors, lens options, temple engraving, packaging design, and accessory configuration. Customer-supplied artwork, logos, and packaging designs must be provided in a print-ready format and are used solely for the purpose of fulfilling the Customer's order. Approved pre-production samples serve as the reference standard for bulk production quality.

6. Payment Terms

Unless otherwise agreed in writing, orders require a deposit payment before production begins, with the balance due prior to shipment or upon presentation of shipping documents. Accepted payment methods, currency, and banking details will be specified on the proforma invoice. Late payment may result in delayed production, delayed shipment, or suspension of the order at OKAY EYEWEAR's discretion.

7. Production & Delivery

Estimated production lead times will be communicated at the time of order confirmation and typically begin after deposit payment is received and final specifications, including approved samples, are confirmed. Delivery dates are estimates and may be affected by order complexity, customization requirements, peak season capacity, and factors outside OKAY EYEWEAR's reasonable control, including those described in Section 14 (Force Majeure).

8. Quality & Inspection

OKAY EYEWEAR follows internal quality control procedures throughout production, including material inspection, in-process checks, and pre-shipment inspection against the approved sample. Customers may arrange third-party inspection at their own cost prior to shipment. Any quality claims must be raised in writing within 7 calendar days of the Customer's receipt of goods, accompanied by supporting evidence such as photographs or inspection reports.

9. Intellectual Property

All content on the Site, including text, images, logos, and product photography, remains the property of OKAY EYEWEAR unless otherwise stated. For OEM/ODM orders, Customer-owned trademarks, logos, and packaging designs remain the Customer's property. OKAY EYEWEAR's existing style library, molds, tooling designs, and general manufacturing know-how remain the property of OKAY EYEWEAR unless a separate written agreement transfers such rights.

10. Confidentiality

Both parties agree to treat non-public business information shared during quotation, sampling, and production, including pricing, product specifications, and branding materials, as confidential and to use such information solely for the purpose of the business relationship, unless disclosure is required by law.

11. Warranty & Product Compliance

OKAY EYEWEAR warrants that goods will conform to the agreed and approved sample specifications at the time of shipment. It is the Customer's responsibility to confirm and communicate the specific regulatory, labeling, and safety compliance requirements (such as UV400, ASTM, EN, or other regional standards) applicable to their target market. OKAY EYEWEAR will make commercially reasonable efforts to meet requirements confirmed in writing but does not guarantee compliance with regulations not disclosed by the Customer prior to production.

12. Limitation of Liability

To the maximum extent permitted by applicable law, OKAY EYEWEAR's total liability arising from any order shall not exceed the total value of the affected order. OKAY EYEWEAR shall not be liable for indirect, incidental, or consequential damages, including loss of profits, loss of business opportunity, or reputational harm, arising from the use of its products or services.

13. Cancellation & Returns

Because most orders involve customization, cancellations after production has commenced may be subject to charges covering materials, labor, and work completed. Returns are generally not accepted for custom-manufactured goods unless the goods materially fail to conform to the approved sample, in which case remedies will be discussed on a case-by-case basis, which may include rework, replacement, or partial credit.

14. Force Majeure

OKAY EYEWEAR shall not be held responsible for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, epidemics, government actions, factory shutdowns, transportation disruptions, or raw material shortages.

15. Website Use

You agree to use the Site only for lawful business purposes and not to misuse, copy, or redistribute Site content without prior written permission. Product images and descriptions on the Site are provided for reference; actual products may vary slightly due to manufacturing tolerances or ongoing style updates.

16. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute arising from these Terms or from an order between OKAY EYEWEAR and a Customer shall first be resolved through good-faith negotiation. If unresolved, disputes may be submitted to arbitration or a competent court in Taizhou, China, unless otherwise agreed in a separate written contract.

17. Changes to These Terms

OKAY EYEWEAR may update these Terms from time to time to reflect changes in our business practices or legal requirements. The updated Terms will be posted on this page with a revised effective date. Continued use of the Site or placement of new orders after such changes constitutes acceptance of the revised Terms.
